Welcome to Tezoro, Inc. ("Tezoro," "we," "us," or "our"). By accessing or using our website, products, or services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Services.

1. No Financial Advice or Guarantees

1.1 Tezoro provides access to decentralized finance (DeFi) tools and infrastructure. We are not a licensed financial advisor, broker, fiduciary, or investment manager. Nothing on our website or in our Services constitutes financial, investment, legal, or tax advice.

1.2 All references to historical performance, projected returns, or yield estimates are for informational purposes only and do not constitute a guarantee of future performance or profit. Tezoro makes no promise or assurance that using our Services will result in any financial gain.

1.3 You are solely responsible for your own financial decisions. We strongly recommend that you consult with a qualified financial advisor before using Tezoro.

2. Risk Disclosure

2.1 By using Tezoro, you acknowledge and accept that ALL FUNDS ARE AT RISK and MAY BE LOST IN PART OR IN FULL.

2.2 Use of blockchain‐based protocols and financial technologies involves substantial risks, including but not limited to:

  • Vulnerabilities or exploits in Tezoro’s software or smart contracts
  • Risks arising from third-party DeFi protocols, including bugs, logic errors, governance failures, or insolvency
  • Loss of access to your wallet or private keys, resulting in permanent loss of assets
  • Stablecoin depegging, resulting in loss of value of assets assumed to be stable
  • Oracle failures or manipulation, resulting in incorrect pricing or execution
  • Liquidation events due to market movements or incorrect collateral valuation
  • Extreme market volatility, including sudden price drops and loss of liquidity
  • Software bugs, unintended behaviors, or updates that break integrations
  • Human error, including incorrect transactions, misconfiguration, or signing mistakes
  • Regulatory actions, law changes, or government interventions in your jurisdiction
  • Cyberattacks, phishing, or hacking of your devices or third-party integrations

2.3 IMPORTANT:
TEZORO PROVIDES NO INSURANCE, COMPENSATION, OR REFUNDS FOR ANY LOSSES. YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

3. Non-Custodial Design with Programmatic Allocation

3.1 Tezoro is a non-custodial platform: we do not hold your private keys or directly store your assets. Your funds remain on-chain, and you retain legal and technical ownership at all times.

3.2 Upon your one-time on-chain authorization, the Tezoro smart contract system may programmatically allocate and reallocate your assets across supported DeFi protocols to pursue optimized yields—without requiring further manual approvals for each individual move.

3.3 Important Clarifications:

  • After initial authorization, Tezoro may move assets within authorized protocols automatically.
  • Tezoro cannot transfer funds to external wallets beyond the permissions you have granted via the smart contract.
  • We do not have access to your private keys and cannot unilaterally withdraw or redirect your funds.
  • A performance fee may be deducted, as transparently disclosed in the interface and enforced by the smart contracts.

3.4 You acknowledge that these automated, algorithm-driven interactions carry risks beyond our control, including technical failures, protocol vulnerabilities, and market losses.

4. Services Provided “As Is”

4.1 All Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties or guarantees of any kind, express or implied.

4.2 Tezoro makes no representation or warranty that:

  • The Services will be uninterrupted, error-free, or secure;
  • Any smart contracts or integrations are free from bugs or exploits;
  • Any information provided (including APY estimates or historical performance) is accurate, current, or complete;
  • Any financial outcome will be achieved.

5. Limitation of Liability

5.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, Tezoro shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages, including loss of funds, data, profits, or business interruption, arising out of or related to your use of the Services.

5.2 This limitation applies even if we have been advised of the possibility of such damages and regardless of the legal theory under which the claim is brought.

5.3 You expressly agree that your use of the Services is at your sole risk, and you release Tezoro and its contributors from all liability related to any losses.

6. Regulatory Compliance & Tax Obligations

6.1 Tezoro is not a regulated financial institution, and operates without oversight in all jurisdictions, including the United States, European Union, United Kingdom, and elsewhere.

6.2 You are solely responsible for ensuring that your use of Tezoro complies with all applicable laws, regulations, and tax obligations in your jurisdiction. We do not provide tax, legal, or regulatory advice.

7. Fees

7.1 Tezoro may charge a management fee and/or performance-based fee as displayed in the user interface. All fees are subject to change at our discretion. Continued use of the Services after any fee update constitutes your acceptance of the revised fees.

8. User Responsibilities

8.1 By using the Services, you agree to:

  • Maintain the confidentiality and security of your wallet credentials;
  • Refrain from using the Services for any illegal or prohibited activity;
  • Comply with all applicable laws and regulations;
  • Assume full responsibility for the management of your digital assets;
  • Never use borrowed funds or more than you can afford to lose.

9. Modifications to the Service & Terms

9.1 Tezoro reserves the right to update, modify, suspend, or discontinue any aspect of the Services or these Terms at any time without prior notice. The most current version will be posted at tezoro.io/terms-of-service.

9.2 Your continued use of the Services constitutes acceptance of any revised Terms.

10. Governing Law & Jurisdiction

10.1 These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.

10.2 Any disputes arising out of or relating to these Terms shall be resolved in the courts of the UAE, subject to Section 11’s pre-litigation requirements.

11. Pre-Litigation & Dispute Resolution Procedure

11.1 Informal Resolution Required. Before initiating any formal legal action, you agree to first contact Tezoro at [email protected] and negotiate in good faith for at least thirty (30) days to resolve any dispute.

11.2 Equitable Relief. Nothing in this section prevents you or Tezoro from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement or abuse.

12. Force Majeure

12.1 No Liability for Extraordinary Events. Tezoro shall not be liable for any failure or delay in performance under these Terms to the extent such failure or delay is caused by acts of God, natural disasters, war, terrorism, riots, civil unrest, governmental actions, power outages, network failures, epidemics, pandemics, strikes, labor disputes, or other events beyond Tezoro’s reasonable control.

13. Intellectual Property

13.1 Ownership. All right, title, and interest in and to the Services, including without limitation all software code (source and object), interfaces, designs, logos, trademarks, text, graphics, and other content, are owned by Tezoro or its licensors.

13.2 License to Use. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services strictly in accordance with these Terms.

13.3 Restrictions. You may not:

  • Modify, copy, distribute, create derivative works of, reverse engineer, decompile, or disassemble any part of the Services;
  • Remove or obscure any proprietary notices or labels on the Services;
  • Use any trademarks, service marks, logos, or trade dress of Tezoro without our prior written consent.
